Question 1.1
The board of directors has the authority to remove a director under certain circumstances, as outlined in section 71 of the Companies Act 71 of 2008.[1] The reasons for removal include if the director becomes ineligible or disqualified, is incapacitated and unable to perform their duties, or has neglected or been derelict in their role. If a director is no longer resident within the republic and there are no other directors within the republic, they may also be removed.
